Do i need to replace all other Telerik.Windows.*.dlls or only replacing Telerik.Windows.Controls.GridView.dll would work?
we are using other telerik controls also and want to make sure that nothing gets broken due to upgrade.

You cannot replace the grid dll only. You need to replace all referenced assemblies.
